1. Scope
1.1. General
The general conditions of sale (hereinafter referred to as “General Conditions of Sale” or “CGV”) apply to all activities provided by the Company “NBO Sàrl”, (hereinafter “NBO” or “La Compagnie"), company located at chemin de la Lande 1, 1008 Prilly, Switzerland, and in particular the activities and services provided through its website and its sales channels, nbo-official.com (hereinafter: "the Site web") allowing the customer to place orders and conclude contracts (hereinafter referred to as “Order”) via the NBO online store.

1.2. Accessibility and validity
These General Terms and Conditions are accessible at any time on the nbo-official.com Website and will take precedence over any other document. NBO reserves the right to freely modify the General Terms and Conditions at any time. The version of the General Terms and Conditions valid at the time of the Order applies. It is the Customer's responsibility to consult them regularly in order to be aware of any modifications.

1.3. Scope
These General Terms and Conditions apply to all sales and services made through the Website, and all sales made by email, by telephone, by oral declaration or by any other firm expressions of will.

1.4. Statement
The Customer declares to have read these General Terms and Conditions and to have accepted them by checking the box provided for this purpose before implementing the online ordering procedure on the nbo-official.com website. By declaring having read and understood them, the Customer acknowledges being bound by these General Conditions of Sale.

2. Offer
2.1. Product
NBO markets a product called Oneboard (hereinafter “the Product”). The offer is aimed at natural or legal persons who have their domicile or headquarters in Europe, Switzerland or the USA. The offer is valid as long as it appears in the online store, and within the limit of production capacities, as specified when placing the order. Modifications to the offer are possible at any time.

The description of the product and its results is for information purposes only. The results obtained from the use of the Product cannot be guaranteed and depend on individual use. NBO cannot be held responsible for any inconvenience linked to the use of the Product (the NBO Oneboard).

2.2. Provisions
The images presented in advertisements, brochures, the online store, the Website, social networks, etc., as well as all information concerning the products serve as illustrations for purely indicative purposes and are not contractual. The specific information on the product is decisive.

3. Intellectual property
NBO owns all intellectual property rights relating to the Website. Any use of photos, illustrations, or any other element of the Website must be requested in writing or by e-mail from NBO. Contact information appears at the end of the document. Without written consent from the company, any use of photos or any other element of the Website is prohibited.

4. Price
Prices are expressed in euros (EU) and Swiss francs (CHF), inclusive of tax, and in US dollars (USD) taxes not included. The prices displayed relate only to the product. The final payment requested from the Customer corresponds to the total amount of the purchase, including processing and shipping costs according to the Customer's choices at the time of the Order. The price indicated in the online store at the time of ordering is binding.

5. Order
5.1. Choice
It is up to the Customer to select on the Website the Product(s) he wishes to order and then follow the procedure available on the Website in order to place the Order.

5.2. General Terms and Conditions
The Customer finalizes their Order in a firm and definitive manner by clicking on the “Order” button. By placing an order and accepting these General Terms and Conditions, the Customer certifies being of legal age and having legal capacity.

5.3. Provisions
NBO reserves the right to limit Order quantities. After transmission of the Order, the Customer receives an acknowledgment of receipt by e-mail, which confirms that the order has reached NBO. The Customer can no longer complete or cancel their order once it has been transmitted. NBO may, without justification, refuse all or part of the order. In this case, the Customer is informed and any payments already made are refunded. All other claims are excluded.

5.4. Evidence
The data recorded at the time of the Order by NBO constitutes irrefutable proof. The data stored by the payment system (Stripe, Paypal, Twint AG, Six payment services) constitute irrefutable proof of financial transactions.

6. Registration
6.1. Validity of information
The Customer undertakes to provide accurate and valid contact details. In the event of a change, the Client is responsible for taking the necessary steps and informing NBO by mail or e-mail at nbo.for.musicians@gmail.com.

6.2. Checking emails
The email address indicated and provided by the Customer must be valid. Any information related to the order will be transmitted via this channel. Consultation of e-mails sent by NBO, in particular e-mails (spam or unwanted) is the responsibility of the Customer. Communications sent by e-mail are accepted as received no later than 24 hours after sending by NBO.

7. Purchase
7.1. Product
The Product is only available via the Website and certain physical and online stores.

7.2. Delivery of the Product
The Customer who has selected and paid for the home delivery option will receive the Product at home, at the address they mention at the time of the order or at a new address that they have communicated, in the event of a change. The Customer who does not receive their Product is responsible for contacting NBO and checking their emails.

7.3. Provisions
Resale or use of the Product for commercial purposes, in any form, is prohibited.

8. Availability
NBO does not guarantee the availability of the Product. Availability is limited to production capacity. If the Product is out of stock, the Customer will be notified as soon as possible.

9. Delivery
9.1. Carrier
Delivery of the Product is carried out by postal services. A participation fee is requested from the customer for delivery. The Customer assumes responsibility for the Products delivered in all circumstances.

9.2. Delivery time
Pre-order: the Products will be shipped end of June-early July 2024. In case of a delay, the Customer will be informed by e-mail of the expected new delivery date. If the delay exceeds  three months, the Customer will be reimbursed.
Regular order: NBO uses its best efforts to ensure that the Products ordered are shipped as quickly as possible. Orders are shipped no later than 8 (eight) working days after the Order.

9.3. Contact details
The Customer undertakes to provide accurate and valid contact details. In the event of non-delivery resulting from an incorrect or outdated address, NBO cannot be held responsible.

9.4. Guarantee
The Product warranty is 2 years, in accordance with Swiss law. Wear parts are not covered under the product warranty. Any damage caused intentionally or through negligent use of the product is not covered.

9.5. Risks
The information transmitted by the Website is provided primarily for informational purposes and cannot under any circumstances engage the liability of NBO. The Customer, by using the Website, assumes all consequences that may arise. In particular by taking all necessary precautions to protect stored data and/or software against any attack (viruses, hacking, etc.). Any damage to accessories external to the NBO product, caused during use with the NBO Oneboard, cannot under any circumstances incur the liability of NBO.

10. Returns, exchanges and complaints
Any claim must be made within 10 (ten) days of receipt of the Product to NBO at nbo.for.musicians@gmail.com.

11. Force majeure
If NBO, its suppliers or mandated third parties are unable to perform within the planned deadlines due to a case of force majeure, for example: natural disaster, pandemic, earthquake, avalanche, etc. bad weather, war, political or social unrest, revolution and insurrection, terrorism, sabotage, strike or accident then NBO will be released from the obligation to perform its service during these cases of force majeure as well as for an appropriate period of time following the end of these events. If the duration of the force majeure event exceeds 30 (thirty) days, NBO is entitled to terminate the contract and will reimburse the total amount that the Customer has paid. All other claims, in particular those relating to claims for damages resulting from a case of force majeure, are excluded.

12. Payment Condition
12.1. Terms
Payment must be made in Euros (EU), Swiss francs (CHF), USD or other currencies available. The price is paid by secure payment method, according to the following methods: payment by bank card (credit card), or by Paypal. The Customer pays the price in full when placing the Order.

12.2. Encryption
Payment data is exchanged encrypted using the protocol defined by the approved payment provider (stripe) involved in banking transactions carried out on the nbo-official.com Website. Stripe is a payment solutions provider that takes care of the technical part of the transaction process.

12.3. Validity
The payment made by the Customer will only be considered final after effective collection by NBO of the sums due.

12.4. Delivery
NBO will not be required to deliver the Product ordered by the Customer if the latter has not paid the price in full under the conditions mentioned above.

13. Applicable law and legal forum
The legal venue is at the NBO headquarters in Prilly, from April 26, 2021. In the event of a dispute, Swiss law is applicable (and more precisely articles 184 et seq. of the Swiss Code of Obligations but excluding the Convention of the United Nations of 1980 on contracts for the international sale of goods (RS 0.221.211.1; CVIM) and any dispute will be handled by the Lausanne District Court of 1st instance. These General Terms and Conditions and the operations resulting from them are governed and subject to under Swiss law.

These General Terms and Conditions are written in French. If they were to be translated into one or more foreign languages, only the French text would be authentic in the event of a dispute.

14. Hyperlinks
The Website may include hypertext links to other Websites (Instagram, Facebook, X, etc.). NBO cannot be held liable in the event of damage resulting from consulting the platform of these sites or resulting from their content.

15. Data protection
NBO uses and processes the Customer's personal data collected through the Website in order to best execute its mission as well as to make the use of the Website as optimal as possible. For any additional information relating to data protection, please refer to and consult the Company's Data Protection Declaration.

16. Saving clause
The validity of these General Conditions of Sale will not be affected if one of its provisions or one of its annexes is or should be declared void. In this case, the void or invalid provision will be replaced by a valid provision which comes close to the purpose of the void or invalid provision. The same applies in the event of a possible contractual gap.
